N2 Subscription of 136,838,000 shares by Sincere Bonus Inv Ltd
("Sincere Bonus") pursuant to the Subscription Agreement
entered into between Sincere Bonus and Oriental Union
Holdings Ltd on 16 April 1999.
N3 Exercise of share option
N4 The shares are beneficially owned by Fertop Development
Group Limited ("Borrower") and they were mortgaged to Yue
Po Finance Ltd ("Yue Po Finance") as security for a loan
facility advanced by Yue Po Finance to the Borrower, under
an Assignment of Shares and Warrants dated 27 August 1998.
As Yue Po Finance has not acquired, and does not intend to
acquire, any beneficial interest in the shares. Yue Po
Finance is currently enforcing its rights under the
relevant security documents by reason of the Borrower's
default, including the power to realise the shares.

N7 5,500,000 shares were disposed on 28/04/99.
N8 1,488,278 shares were allotted by way of scrip dividend on
03/05/99.
