N1 On 24 May 1999, the Stock Exchange of Hong Kong Limited had
granted permission to Culturecom Holdings Limited ("the
Company") to allot and issue 286,000,000 new shares ("the
Shares") of HK$0.10 each of the Company credited as fully
paid at HK$0.16 per Share to Mr. Chu Bong Foo ("Mr. Chu")
as consideration for the Company to acquire 10 ordinary
shares in the share capital of Fighting Spirit Technology
Limited from Mr. Chu. On 27 May 1999, Mr. Chu was
appointed as Vice Chairman and Executive Director of the
Company, therefore, Mr. Chu was deemed to have interests in
the Company.
