N1   Due to the dissolution of Newman Overseas Limited on 31 May
     1999, all assets of the Company be distributed to the
     remaining shareholders, i.e. Hero China Investments Limited
     and China Lounge Investments Limited.

     Holdings Limited ("Oriental Union") pursuant to the
     Subscription Agreement entered into between Sincere Bonus
     Investment Ltd and Oriental Union on 10 June 1999.

N8   Refer to the agreement dated 10 May 1999 in relation to the
     acquisition from China Everbright Holdings Company Limited
     ("CEHCL") by China Everbright Limited ("CEL") of the entire
     issued share capital of, and the shareholder's loan to,
     China Everbright Securities (Cayman) Limited (the
     "Acquisition").  It was informed that CEL has allotted and
     issued 106,299,000 ordinary shares to Honorich Holdings
     Limited ("HHL"), the nominee of CEHCL as partial
     consideration for the Acquisition.  Accordingly, the total
     number of shares held by CEHCL has been increased from
     777,725,207 shares to 884,024,207 shares.
