NOTES:
N1 By a placing and subscription agreement dated 22 June 1999 made
between, inter alios, E-LIFE and Fortune Garden, Fortune Garden
has agreed to sell a total of 80,000,000 shares of HK$0.10 each
in E-LIFE to seven independent purchasers ("Placing") and
thereafter subscribe for 100,000,000 new shares of HK$0.10 each
in E-LIFE. Completion of the Placing has taken place on
26 June 1999, as a result of which Fortune Garden has become the
legal and beneficial holder of 209,182,300 shares of HK$0.10
each in E-LIFE.
N2 Issue of 230,000 shares arising from the exercise of the
subscription rights attached to the 230,000 employees' share
option granted to Chan Wai Lun on 29 June 1998.

N5 There is in fact no change in the amount of the director's
holding of the warrants. As a result of an adjustment by The
Wharf (Holdings) Ltd ("WHL") of the Warrant Subscription Price
from $17.50 per share to $17.45 per share, effective 8 July 1999,
the nominal amount of the warrant held by the director would
effectively entitle him to subscribe for shares of WHL of a number
larger than before. To avoid possible confusion/misunderstanding,
the disclosure regarding warrants is only for changing the basis
of the quantity of warrants for the disclosure.
