N3 Pursuant to the exercise of the over-allotment option by Jardine
Fleming Securities Limited on behalf of the Placing Underwriters
(as defined in the placing and underwriting agreement dated 21
June 1999 ("Underwriting Agreement") entered into by Pacific
Century Insurance Holdings Limited (the "Company") and others),
China Insurance Group Investment Company Limited, being one of
the Vendors (as defined in the Underwriting Agreement), had on
22 July 1999 sold 850,000 shares in the Company held by it
at HK$6.28 per share to cover over-allocations in Placing (as
defined in the Underwriting Agreement).
N4 On 19 July 1999 Rosewood Assets Ltd., a company wholly owned by
Yu Pun Hoi, exercised its conversion right under a convertible
note to convert HK$200,000,000 of the principal amount of the
