N1 Date of Transaction: 09/08/99 - 12/08/99
N2 On 27 July 1999, DEG Holdings Pty Ltd ("DEG") entered into a
Placing Agreement with Luen Fat Securities Co Ltd ("Luen Fat")
appointing Luen Fat as the placing agent, on a fully underwritten
basis, to place 30 million shares in Golden Harvest Entertainment
(Holdings) Limited ("Golden Harvest"). Pursuant to such agreement,
the said 30 million shares were sold to Luen Fat on 2 August 1999.
On 29 July 1999, DEG entered into a Placing Agreement with Mr.
Victor Cha for the sale of 5 million shares in Golden Harvest to
him. The sale was completed on 4 August 1999.
On August 1999, DEG sold 6.9 milion shares in Golden Harvest to
Merrill Lynch Pierce Fenner & Smith Inc.
