NOTES:
N1 Marwicken Company Limited ("Marwicken"), a company in which the sole
beneficial shareholder is Mr. Chan Boon Ho Peter, as grantee has entered
into a Deed of Call Option ("Option Deed") with the grantor (the "Grantor")
on 30 June 1999 pursuant to which Marwicken was granted on option ("Option")
to require the Grantor to sell up to half of the shares of HK$0.40 each
(the "Shares") of Huey Tai International Limited ("Huey Tai") acquired by
the Grantor under a HK$300,000,000 Convertible Redeemable Note (the "Note")
to be issued by Huey Tai at an initial conversion price of HK$0.40 per
share ("Conversion Price")(subject to adjustment). The Option may be
exercised during the option period which will be at any time after the
issue of the Shares by Huey Tai to the Grantor upon conversion of the
Note up to 1 month after the earlier of the date of repayment on the
third anniversary of the date of issue of the Note and the date by
which the conversion rights attached to the Note have been fully exercised
by the Grantor. Assuming full conversion of the Note at the Conversion
Price, Marwicken will have the right to acquire up to 375,000,000 Shares
at the price based on the Conversion Price and the carrying costs of the
Grantor. The Option Deed is subject to the issue of the Note.
N2 295,449,548 shares were registered in the name of Peninsula Int'l Ltd
and its nominee which held the same as nominee for the Captive Insurance
Trsut, a discretionary trust whose prospective beneficiaries included
Mr. Hans-Joerg Seeberger and his family.
1,966,467,442 shares were registered in the name of Egana International
(Holdings) Limited (EIH), the holding company of the Company, and its
nominee. By virtue of his interest in EIH pursuant to SDI Ordinance,
Mr. Seeberger was deemed to be interested in these shares.
N3 2001 Warrants of the Company ("Warrants") in the amount of HK$47,853,744.25
were registered in the name of Peninsula International Limited and its
nominee which held the same as nominee for the Captive Insurance Trust, a
discretionary trust whose prospective beneficiaries included Mr. Seeberger
and his family.
Warrants in the amount of HK$29,675,219.00 were registered in the name of
EIH and its nominee. By virtue of his interest in EIH pursuant to SDI
Ordinance, Mr. Seeberger was deemed to be interested in these warrants.
Interim dividend declared by EIH for the year ening 31/12/99 on the basis
of 5 existing Warrants for every 200 existing shares of EIH payable on
01/11/99 to those registered on the register of members of EIH as at
19/10/99.
N4 Mr. Yu Pun Hoi is deemed to be interested in his spouse Ms. Kung Ai Ming's
interests in 50,000,000 new shares in Sino-I. Com. These shares are
held through Redmap Resources Ltd, a wholly-owned company by Ms. Kung
Ai Ming.
N5 Disposals were made from 01/11/99 to 04/11/99 at prices ranging from
$0.225 to $0.228 per share.
N6 Rights Issue

The Securities and Futures Commission has granted Manulife Financial
Corporation ("MFC") a partial exemption from compliance with the
Securities (Disclosure of Interests) Ordinance pursuant to guidelines
published under section 2A of the Ordinance. Under the partial
exemption, MFC is not required to prepare registers, maintain records
or file, and MFC's corporate insiders are not required to file, with
Hong Kong regulatory authorities disclosure of interest reports
pursuant to the Ordinance on the condition that MFC will file with
the SEHK disclosures of interests made in Canada and the U.S. where
it maintains primary listings.
1. Under Canadian law, 10% shareholders of MFC have to file reports to
the Ontario Securities Commission ("OSC"). Reports made by 10%
shareholders, if any, can be found in OSC website www.sedar.com.
MFC has agreed to monitor the OSC Weekly Bulletin and Insider Early
Warning Report Press Releases every two weeks and if any reports by
or concerning 10% shareholders and filed, MFC will provide a hard
copy to the SEHK for inspection by the Hong Kong public. So far,
the SEHK has not received any such reports from MFC.
2. Under U.S. law, 5% shareholders of MFC have to file reports to the
U.S. Securities and Exchange Commission ("SEC") pursuant to Schedule
13G/13D of the Securities and Exchange Act 1934 of the United States.
Up-to-date reports made by 5% shareholders, if any, can be found in
SEC website at www.sec.gov. MFC has agreed to monitor the SEC
website every two weeks and if any reports on 5% shareholders are
filed, MFC will provide a hard copy to the SEHK for inspection by
the Hong Kong public. So far, the SEHK has not received any such
reports from MFC.
3. Hard copies of filings or reports provided by MFC under paragraphs 1
and 2 above (if any) are available for inspection at the SEHK's
