the 162,500,000 shares in Plotio Holdings Limited owned by G. Yean.
As reported in Mr. Cheung's SDI notification dated 21 November 2000,
G. Yean entered into a conditional share swap agreement (the "Agreement")
on 16 November 2000. Pursuant to the Agreement, G. Yean agreed to dispose
of 60,000,000 shares in Plotio Holdings Limited at HK$0.2683 per share in
exchange for certain investments outside Hong Kong.
On 23 November 2000, 30,000,000 shares were disposed of by G. Yean pursuant
to the terms of the Agreement.
N8 Pursuant to the Placing Agreement dated 22/11/2000, an aggregate of 95,000,000
existing shares (as to 23,783,571 shares by Mr. Joseph Lau Luen Hung and as to
71,216,429 shares by the discretionary trust) would be placed at HK$0.80 each
and the placing would be completed on or before 27/11/2000. Pursuant to the
Subscription Agreement dated 22/11/2000, subscription of an aggregate of
212,300,000 new shares (as to 53,150,022 by Mr. Joseph Lau Luen Hung and
159,149,978 by a discretionary trust) would be completed on or before
06/12/2000 upon fulfilment of conditions.

N12 Pursuant to a conditional subscription agreement dated 23 October 2000
entered into between PCCW Capital Limited (formerly Tolworth Finance
Limited), the Company and Pacific Century Group Holdings Ltd ("PCG")
pursuant to which PCG subscribed for convertible bonds (the "Convertible
Bonds") with an aggregate principal amount of US$500,000,000 convertible
into ordinary shares of the Company at an initial conversion price of
US$1.0083 per share (subject to adjustment). The Convertible Bonds will
be issued on 5 December 2000. Li Tzar Kai Richard is deemed to be interested
in the convertible bonds of the Company of an aggregate principle amount of
US$500,000,000 to be issued to PCG.
N13 Mr. Allen subscribed his entitlement for 7,500 rights shares and 2,500
excess shares (the allotment of excess shares are subject to the annouce-
ment of Pacific Century CyberWorks Limited).
N14 Each of Pacific Century Group Holdings Limited, Pacific Century Regional
Developments Limited and Pacific Century Diversified Limited (collectively
the "Major Shareholders") entered into a share underwriting agreement dated
23 October 2000 with the Company pursuant to which the Major Shareholders
have undertaken to take up their respective entitlements as existing
shareholders of the Company in rights to acquire a total of 243,434,553
shares in the Company and have underwritten the remaining rights shares
not taken up by other shareholders under the Rights Issue, at a price of
HK$6.50 per share, subject to certain adjustments as provided under the
share underwriting agreements.

The Securities and Futures Commission has granted Manulife Financial
Corporation ("MFC") a partial exemption from compliance with the
Securities (Disclosure of Interests) Ordinance pursuant to guidelines
published under section 2A of the Ordinance. Under the partial
exemption, MFC is not required to prepare registers, maintain records
or file, and MFC's corporate insiders are not required to file, with
Hong Kong regulatory authorities disclosure of interest reports
pursuant to the Ordinance on the condition that MFC will file with
the SEHK disclosures of interests made in Canada and the U.S. where
it maintains primary listings.
1. Under Canadian law, 10% shareholders of MFC have to file reports to
the Ontario Securities Commission ("OSC"). Reports made by 10%
shareholders, if any, can be found in OSC website www.sedar.com.
MFC has agreed to monitor the OSC Weekly Bulletin and Insider Early
Warning Report Press Releases every two weeks and if any reports by
or concerning 10% shareholders and filed, MFC will provide a hard
copy to the SEHK for inspection by the Hong Kong public. So far,
the SEHK has not received any such reports from MFC.
2. Under U.S. law, 5% shareholders of MFC have to file reports to the
U.S. Securities and Exchange Commission ("SEC") pursuant to Schedule
13G/13D of the Securities and Exchange Act 1934 of the United States.
Up-to-date reports made by 5% shareholders, if any, can be found in
SEC website at www.sec.gov. MFC has agreed to monitor the SEC
website every two weeks and if any reports on 5% shareholders are
filed, MFC will provide a hard copy to the SEHK for inspection by
the Hong Kong public. So far, the SEHK has not received any such
reports from MFC.
