1 December 2000 with Solution Bridge Limited for sale of 408,757,642 shares

agreed to sell 43,000,000 shares in the Company (constituting approximately

a company wholly and beneficially owned by her (namely Diamond Leaf
Limited) has conditionally agreed to sell 43,000,000 shares in the

Pursuant to a sale and purchase agreement dated 1 December 2000, Mrs
Wang, through company wholly and beneficially owned by her (namely

(constituting approximately 24.77% of the issued shares of the Company).

N13 A wholly-owned subsidiary of Paliburg Holdings Ltd ("PHL") holds 30%
attributable shareholding interest in Cheerjoy through Point Perfect
Investments Ltd ("Point Perfect") which is a 30% owned associated
company of such subsidiary. Point Perfect holds all the issued shares
of Cheerjoy, i.e. 2 shares.
N14 (a) As a result of the capital and debt restructuring of Chi Cheung
Investment Company, Limited ("Chi Cheung"), which was completed
on 20th November 2000, the par value of the ordinary shares of
Chi Cheung was changed from HK$0.20 per share to HK$0.10 per share,
and the issued shares of Chi Cheung was increased to 2,971,305,343
shares of HK$0.10 per share.
(b) The present balance of 469,269,737 shares is after taking into account
the entitlements to new ordinary shares of Chi Cheung acquired by
companies controlled by Century City Int'l Holdings Ltd ("CCIHL") as
the Scheme Creditors under the capital and debt restructuring of Chi
Cheung.
(c) Following (a) and (b) above, the shareholding percentage in Chi Cheung
held by companies controlled by CCIHL reduced from 65.33% to 15.79%,
and accordingly, Chi Cheung ceased to be an associated corporation of

The Securities and Futures Commission has granted Manulife Financial
Corporation ("MFC") a partial exemption from compliance with the
Securities (Disclosure of Interests) Ordinance pursuant to guidelines
published under section 2A of the Ordinance. Under the partial
exemption, MFC is not required to prepare registers, maintain records
or file, and MFC's corporate insiders are not required to file, with
Hong Kong regulatory authorities disclosure of interest reports
pursuant to the Ordinance on the condition that MFC will file with
the SEHK disclosures of interests made in Canada and the U.S. where
it maintains primary listings.
1. Under Canadian law, 10% shareholders of MFC have to file reports to
the Ontario Securities Commission ("OSC"). Reports made by 10%
shareholders, if any, can be found in OSC website www.sedar.com.
MFC has agreed to monitor the OSC Weekly Bulletin and Insider Early
Warning Report Press Releases every two weeks and if any reports by
or concerning 10% shareholders and filed, MFC will provide a hard
copy to the SEHK for inspection by the Hong Kong public. So far,
the SEHK has not received any such reports from MFC.
2. Under U.S. law, 5% shareholders of MFC have to file reports to the
U.S. Securities and Exchange Commission ("SEC") pursuant to Schedule
