acquired from Cobra certain shares in Tse Sui Luen Jewellery
(International) Limited ("TSL Shares") and its right title and
interest in various financing documents ("Financing documents") under
which 194,667,874 TSL Shares ("the Charged Shares") were charged,
which comprised 69,364,210 of the Charged Shares registered in the name
of Mr. Tse Sui Luen ("Mr. Tse") and 125,303,664 registered under the
name of Goldalu Investment Limited ("Goldalu") made under two separate
Charge over Assets both dated 17th July 1997 by Mr. Tse and Goldalu
respectively.
Blink instituted legal proceedings on 17th April 2001 against Goldalu
under H.C.M.P. No. 2091 of 2001 for, inter alia, payment of all money
due and owing by Goldalu under the covenants contained in the Charge
over Assets dated 17th July 1997 executed by Goldalu as the Chargor
therein ("the Charge") and foreclosure of 125,303,664 TSL Shares
comprised in the Charge.
By an Order by Master Jones filed on 31st May 2001 ("the Order"), Blink
obtained order against Goldalu for, inter alia, recovering the money
due and owing by Goldalu under the convenants contained in the Charge
together with interest and cost, and the foreclosure of 125,303,664
TSL Shares.
Mr. TSE holds 100% of the issued shares in Blink and pursuant to
Section 8(3) of the Securities (Disclosure of Interests) Ordinance,
cap. 396, he is deemd to be interested in the subject TSL Shares and
the Financing Documents in which Blink has an interest.

The Securities and Futures Commission has granted Manulife Financial
Corporation ("MFC") a partial exemption from compliance with the
Securities (Disclosure of Interests) Ordinance pursuant to guidelines
published under section 2A of the Ordinance. Under the partial
exemption, MFC is not required to prepare registers, maintain records
or file, and MFC's corporate insiders are not required to file, with
Hong Kong regulatory authorities disclosure of interest reports
pursuant to the Ordinance on the condition that MFC will file with
the SEHK disclosures of interests made in Canada and the U.S. where
it maintains primary listings.
1. Under Canadian law, 10% shareholders of MFC have to file reports to
the Ontario Securities Commission ("OSC"). Reports made by 10%
shareholders, if any, can be found in OSC website www.sedar.com.
MFC has agreed to monitor the OSC Weekly Bulletin and Insider Early
Warning Report Press Releases every two weeks and if any reports by
