Holdings Limited, the entire issued share capital of which is owned
by Mr. Sham Kit Ying's wife Ms. Chan Wai Hing. On 28 December 2001,
the entire issued share capital of Caewern Holdings Limited is owned
by Quinselle Holdings Limited, acting in its capacity as trustee of
a private unit trust. HSBC International Trustee Limited, acting in
its capacity as trustee of a family trust holds the majority units in
the private unit trust. Ms. Sham Yee Ching Judy, Ms. Sham Yee Lan
Peggy and Mr. Lee Seng Jin are one of the objects under the family
trust. Accordingly, they have 'other interests' in the above said
shares of the Company.

b) Of the 284,480,000 shares, 16,140,000 shares are held by Morpeth
Investments Limited, the entire issued share capital of which is owned
by Mr. Sham Kit Ying. On 28 December 2001, the entire issued share
capital of Morpeth Investments is owned by Cashstar Investments Limited,
acting in its capacity as trustee of another private unit trust. HSBC
International Trustee Limited, acting in its capacity as trustee of
another family trusts holds the majority units in the private unit
trust. Ms. Sham Yee Ching Judy and Ms. Sham Yee Lan Peggy are one of
the objects under the family trust. Accordingly, they have 'other
interests' in the above said shares of the Company.

N5 Change in shareholdings in CCT Telecom Holdings Limited as a result
of share consolidation, rights issue and bonus issue.

N6 Arising from the conversion of Hong Leong Credit Berhad's Replacement
Warrants at an exercise price of RM4.97 per share.

N7 Pursuant to Section 2 of the Securities (Disclosure of Interests)
Ordinance, eSun Holdings Limited has ceased to be an associated
corporation of the Company with effect from 21st December 2001 on
which date the audited consolidated financial statements of the
Company for the year ended 31st July, 2001 was adopted at its 2001
Annual General Meeting.

N8 Acquisitions were made from 31/12/01 to 03/01/02 at prices ranging
from $1.07 to $1.10 per share.

N9 Shares were allotted under the Company's Employee Share Subscription
Scheme.

N10 Being 50,000,000 shares transfer from Fortune Garden Investment
Limited to Mr. Pak Chung's wife (Ms. Sun Li) at market value of
HK$0.102 each on 3 January 2002.

Mr. Sham Kit Ying's ("Mr. Sham") wife Ms. Chan Wai Hing. Mr. Sham has
'family interest' in the above said shares by virtue of his wife's
interest. On 28 December 2001, Ms. Chan Wai Hing gifts her beneficial
interest in the entire issued shares of Caewern Holdings Limited to
Quinselle Holdings Limited, acting in its capacity as trustee of a
private unit trust. Accordingly, Mr. Sham ceases to have any interests
in the above said shares of the Company.

b) Of the 284,480,000 shares, 16,140,000 shares were held by Morpeth
Investments Limited, the entire issued share capital of which is owned
by Mr. Sham Kit Ying. On 28 December 2001, Mr. Sham Kit Ying gifts his
beneficial interest in the entire issued shares of Morpeth Investments
Limited to Cashstar Investments Limited, acting in its capacity as
trustee of another private unit trust. Accordingly, Mr. Sham ceases
to have any interests in the above said shares of the Company.

SUBSTANTIAL SHAREHOLDERS' NOTIFICATIONS REPORT

The Securities and Futures Commission has granted Manulife Financial
Corporation ("MFC") a partial exemption from compliance with the
Securities (Disclosure of Interests) Ordinance pursuant to guidelines
published under section 2A of the Ordinance. Under the partial
exemption, MFC is not required to prepare registers, maintain records
or file, and MFC's corporate insiders are not required to file, with
Hong Kong regulatory authorities disclosure of interest reports
pursuant to the Ordinance on the condition that MFC will file with
the SEHK disclosures of interests made in Canada and the U.S. where
it maintains primary listings.

1. Under Canadian law, 10% shareholders of MFC have to file reports
to the Ontario Securities Commission ("OSC"). Reports made by 10%
shareholders, if any, can be found in OSC website www.sedar.com.
MFC has agreed to monitor the OSC Weekly Bulletin and Insider
Early Warning Report Press Releases every two weeks and if any
reports by or concerning 10% shareholders and filed, MFC will
provide a hard copy to the SEHK for inspection by the Hong Kong
public. So far, the SEHK has not received any such reports from
MFC.

2. Under U.S. law, 5% shareholders of MFC have to file reports to
the U.S. Securities and Exchange Commission ("SEC") pursuant to
Schedule 13G/13D of the Securities and Exchange Act 1934 of the
United States. Up-to-date reports made by 5% shareholders, if
any, can be found in SEC website at www.sec.gov. MFC has agreed
to monitor the SEC website every two weeks and if any reports on
5% shareholders are filed, MFC will provide a hard copy to the
SEHK for inspection by the Hong Kong public. So far, the SEHK
has not received any such reports from MFC.

3. Hard copies of filings or reports provided by MFC under paragraphs
1 and 2 above (if any) are available for inspection at the SEHK's
office at 11/F., One International Finance Centre, 1 Harbour View
Street, Central, Hong Kong, and upon request in writing to MFC at
