NOTES:
N1 Tsoi Siu Lan Mazie is the registered and beneficial owner of all the
issued share capital of Moneyweb Enterprises Limited ("Moneyweb").
On 24 January 2002, these 90,000,000 shares were charged under a first
fixed charge (the "Share Mortgage") by Active Market Investments
Limited ("Active Market"), a substantial shareholder of Vision Tech
International Holdings Ltd ("the Company"), in favour of Moneyweb as
security for a loan pursuant to a loan facility granted by Moneyweb
to Active Market on the same date (the "Loan Facility").
Pursuant to a deed of assignment dated 25 April 2002 entered into
between Moneyweb and Perfect Class Investments Limited ("Perfect Class"),
all the rights and benefits to and under the Loan Facility and the
Share Mortgage have been assigned from Moneyweb to Perfect Class in
consideration of the repayment of the loan outstanding under the Loan
Facility by Perfect Class. Moneyweb has ceased to have any notifiable
interest in the Company since that date.
N2 The two companies in the name of New World Services Limited are two
separate legal entities with one incorporated in the British Virgin
Islands and the other one incorporated in the Cayman Islands.
N3 Allotment and issue of 33,800,000 new shares to Angel Field Ltd at the
subscription price of HK$0.53 pursuant to a subscription agreement
dated 16 April, 2002 entered into between Ying Wing Holdings Ltd ("the
Company") and Angel Field Ltd (the "Subscription"), details of the
Subscription were stated in the Company's announcement of 16 April
2002.
N4 720,000 share options to subscribe for shares in Kim Eng Holdings
(Hong Kong) Limited granted to Mr. Chan Yick Hung on 27 April, 1998
with exercise price of HK$8 per share (which are exercisable from
27 April, 1999 to 26 April, 2002) expired on 26 April, 2002. The
said options were cancelled.
N5 The duty of Mr. Cheung Chung Kiu to disclose his corporate interests
in The Cross-Harbour (Holdings) Limited (an associated corporation of
Prestige Properties Holdings Limited) arose on 26 April 2002, being the
date on which Prestige Properties Holdings Limited commenced to send
out copies of the accounts to its members and therefore the date on
which The Cross-Harbour (Holdings) Limited was deemed to be an
associated corporation of Prestige Properties Holdings Limited under
section 2(1)(b) and section 2(3) of the Securities (Disclosure of
Interests) Ordinance (CAP.396).

SUBSTANTIAL SHAREHOLDERS' NOTIFICATIONS REPORT

The Securities and Futures Commission has granted Manulife Financial
Corporation ("MFC") a partial exemption from compliance with the
Securities (Disclosure of Interests) Ordinance pursuant to guidelines
published under section 2A of the Ordinance. Under the partial
exemption, MFC is not required to prepare registers, maintain records
or file, and MFC's corporate insiders are not required to file, with
Hong Kong regulatory authorities disclosure of interest reports
pursuant to the Ordinance on the condition that MFC will file with
the SEHK disclosures of interests made in Canada and the U.S. where
it maintains primary listings.
1. Under Canadian law, 10% shareholders of MFC have to file reports
to the Ontario Securities Commission ("OSC"). Reports made by 10%
shareholders, if any, can be found in OSC website www.sedar.com.
MFC has agreed to monitor the OSC Weekly Bulletin and Insider
Early Warning Report Press Releases every two weeks and if any
reports by or concerning 10% shareholders and filed, MFC will
provide a hard copy to the SEHK for inspection by the Hong Kong
public. So far, the SEHK has not received any such reports from
MFC.
2. Under U.S. law, 5% shareholders of MFC have to file reports to
the U.S. Securities and Exchange Commission ("SEC") pursuant to
Schedule 13G/13D of the Securities and Exchange Act 1934 of the
United States. Up-to-date reports made by 5% shareholders, if
any, can be found in SEC website at www.sec.gov. MFC has agreed
to monitor the SEC website every two weeks and if any reports on
5% shareholders are filed, MFC will provide a hard copy to the
SEHK for inspection by the Hong Kong public. So far, the SEHK
has not received any such reports from MFC.
3. Hard copies of filings or reports provided by MFC under paragraphs
1 and 2 above (if any) are available for inspection at the SEHK's
