N2      Acoustic Touch Limited ("AT") holds 211,714,500 shares in Fujikon
        Industrial Holdings Limited ("Company").  Pursuant to three
        agreements entered into by AT with Miracle Journey Corp.
        ("Miracle"), Might Media Limited ("Might Media") and Mys Finance
        Limited ("Mys") respectively, Miracle, Mighty Media and Mys have
        granted to AT pre-emptions rights over the shares of the Company
        held by them.  Miracle holds 13,485,000 shares, Might Media holds
        13,485,000 shares and Mys holds 6,742,500 shares in the Company
        respectively.  Accordingly, under the SDI Ordinance, AT is
