N1     Rights Issue

N2     Pursuant to a sale purchase agreement dated 24th September, 2001 (the
       "Agreement"), Expert Solution Limited, a 65% owned subsidiary of
       China Strategic Holdings Limited ("CSH"), agreed to dispose certain
       media interests to STAREASTnet.com Corporation ("STAREASTnet") at a
       consideration HK$210 million which would be partly satisfied by the
       issuance of 1,040 million new ordinary shares of HK$0.1 each in the
       capital of STAREASTnet to CSH or its nominee.  Conditions precedent
       to the completion of the Agreement have been fulfilled and completion
       of the disposal has taken place on 4th December, 2001.  Accordingly,
       1,040,000,000 new shares in the issued share capital of STAREASTnet
       have been issued to Glory Dynamic Limited, a wholly owned subsidiary
       of CSH.
