N2 On 15 May 2002 Diamonds and Pearls Limited ("D&P") entered into an
agreement with New Universe Enterprises Limited ("NUEL"), pursuant
to which D&P has agreed to sell and NUEL has agreed to purchase
1,363,000,000 shares of HK$0.005 each in the capital of Smartech
Digital Manufacturing Holdings Limited (each a "Share") for a
consideration of HK$0.013 per share.
On 15 May 2002, D&P entered into a placing agreement with Taifair
Securities Limited ("Taifair"), pursuant to which Taifair has agreed,
as agent of D&P, procure the placing of 593,000,000 Shares to placers
who are independent of and not connected with any director, chief
executive, management shareholders or substantial shareholders of
Smartech, NUEL, New Universe Holdings Limited, their respective
subsidiaries or associates (as defined in the GEM Listing Rules),
failing which, Taifair shall purchase these Shares as principal. For
details, please refer to the Company's announcement of 17 May 2002.
N3 Mr. Lau Yeung Sang, being the substantial shareholder and director of
Universal Technologies Holdings Ltd ("the Company"), disposed of
58,900,000 shares in the Company in aggregate through World One
Investments Ltd, the wholly owned company of Mr. Lau Yeung Sang,
to 3 independent third parties of the Company on 15 May 2002.
The no. of shares transferred were 55,000,000 shares, 2,970,000 shares
and 930,000 shares respectively at the consideration of HK$1.08/share,
HK$1.43/share and HK$1.38/share respectively.
