N1      The previous number of shares in Sing Tao Media Group Ltd
        held by the substantial shareholder has been changed as a
        result of share consolidation on 28 May 2002 of every 20
        issued and unissued ordinary shares were consolidated into
        one ordinary share.

N2      On 20 September 2002, 33,750,000 shares were allotted to
        Cyber Hero Limited as a result of its subscription of rights
        shares under the rights issue of Sing Pao Media Group Limited.
